1. Introduction

These Terms & Conditions ("Terms") govern access to and use of TallyKart (the "Platform"), a software licensing and customer portal owned and operated by Metiosys Software Solutions ("Metiosys", "TallyKart", "we", "us", or "our"). TallyKart develops, licenses, distributes, and supports its own Tally business solution software products ("Software") and provides tools for customers to discover, purchase, subscribe to, download, activate, renew, and manage those licenses.

By creating an account, placing an order, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Definitions

  • "Account" means a registered Customer or Channel Partner profile on the Platform.
  • "Customer" means an individual or business entity that purchases, holds, or uses a Software license through the Platform, either directly or through a Channel Partner.
  • "Channel Partner" means a business approved by TallyKart to assist Customers with purchasing, implementation, licensing, subscription renewal, and technical support, as described in Section 7.
  • "Software" means any Tally business solution, plugin, or related product owned, developed, licensed, and distributed by Metiosys Software Solutions and made available through the Platform.
  • "Subscription" means a time-bound license granting the right to use a specified Software product, tied to one or more Tally Serial Numbers, for a defined subscription period.
  • "Order" means a request placed through the Platform to purchase or renew one or more Subscriptions.
  • "Tally License Information" means the Tally Serial Number, License ID, Engine Code, or Activation Key associated with a Customer's Tally Prime installation.

3. Acceptance of Terms

Use of the Platform, including browsing the product catalog, creating an Account, or placing an Order, constitutes acceptance of these Terms and our Privacy Policy. Where applicable (registration and checkout), acceptance is recorded electronically, including the version of these Terms accepted, the date and time of acceptance, and, where available, the IP address and browser/device information used.

4. Eligibility

The Platform is intended for use by individuals and businesses capable of entering into legally binding contracts under applicable law. By registering an Account, you confirm that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the authority to act on behalf of the business you represent, if applicable.

5. User Accounts

Customers and Channel Partners must register an Account to purchase, hold, or manage Software subscriptions. You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You must notify us promptly of any unauthorized use of your Account. TallyKart is not liable for any loss arising from your failure to safeguard your Account credentials.

6. Customer Responsibilities

Customers are responsible for:

  • Providing accurate, current, and complete information during registration and checkout, including business details, billing address, and Tally License Information.
  • Keeping Account information up to date, including changes to Tally Serial Numbers, contact details, and billing information.
  • Ensuring that any Tally Serial Number, License ID, or Activation Key submitted is accurate and belongs to a Tally Prime installation the Customer is authorized to license.
  • Maintaining the confidentiality of Account credentials and promptly reporting suspected unauthorized use.

Incorrect or incomplete information provided by a Customer may delay license activation, renewal, or technical support, and TallyKart is not responsible for delays caused by inaccurate information.

7. Channel Partner Accounts

This Section governs Channel Partners registered on the Platform.

  • A Channel Partner is an independent business authorized by TallyKart to promote TallyKart Software, refer Customers, sell Subscriptions, and provide implementation, installation, training, and first-level support, in exchange for commissions or agreed commercial margins. A Channel Partner is not a publisher, product owner, joint venture partner, employee, or owner of the Platform, and has no authority to legally bind TallyKart.
  • Nothing in these Terms creates a partnership, joint venture, agency, employment, or ownership relationship between TallyKart and any Channel Partner. All Software available on the Platform is published, licensed, owned, and distributed solely by TallyKart, and Customer licenses are issued solely by TallyKart, as described in Sections 8 and 13; a Channel Partner does not own or publish any product unless separately agreed with TallyKart in writing.
  • Channel Partner registration is subject to review and approval by TallyKart. TallyKart may accept, reject, or request additional information before approving a Channel Partner application.
  • Approved Channel Partners may act on behalf of Customers only where properly authorized by the relevant Customer, including purchasing Subscriptions, renewing Subscriptions, assisting with implementation, and providing technical support.
  • Channel Partners may purchase Subscriptions on behalf of their Customers using the Partner Portal. The Customer remains the end license holder in all cases; a Channel Partner's involvement does not transfer ownership of, or rights in, the Software or the underlying license.
  • Channel Partners are responsible for maintaining accurate information about the Customers they manage, including business details and Tally License Information.
  • Channel Partners must not make false, misleading, or unauthorized claims or commitments regarding TallyKart, its Software, pricing, or support obligations, on TallyKart's behalf.
  • Channel Partners must comply with all TallyKart policies, including these Terms, our Privacy Policy, and Refund Policy, and with any additional Channel Partner program guidelines communicated by TallyKart.
  • TallyKart may suspend or terminate a Channel Partner Account, without prior notice where warranted, for misuse of the Platform, fraud, violation of these Terms or Channel Partner program guidelines, or unauthorized distribution of Software.
  • Channel Partner benefits, discount pricing, and program eligibility are determined solely by TallyKart and may be modified, restricted, or withdrawn at any time, at TallyKart's discretion.

8. Products and Services

TallyKart develops, licenses, distributes, and supports its own Software products directly to Customers. All Software available on the Platform is owned and managed by Metiosys Software Solutions unless expressly stated otherwise. The Platform does not permit third-party developers, publishers, or resellers to publish or sell software through TallyKart, and no part of the Platform functions as an open marketplace for third-party products.

9. Orders

An Order is placed by selecting one or more Software Subscriptions, associating them with valid Tally License Information, and completing checkout, including payment. Placing an Order constitutes an offer to purchase, which TallyKart may accept or decline. An Order is confirmed only after successful payment verification, and certain Orders may additionally require manual verification, as described in Section 16 and our Refund Policy.

10. Pricing

Prices for Software Subscriptions are displayed on the Platform at the time of purchase and are subject to change without prior notice. Price changes do not affect an Order that has already been confirmed. All prices are listed in Indian Rupees (INR) unless otherwise stated and are exclusive of applicable taxes, which are added at checkout.

11. Taxes

Orders are subject to Goods and Services Tax (GST) and any other taxes applicable under Indian law, calculated and displayed at checkout. Customers who provide a valid GSTIN may be eligible for a business (B2B) tax invoice; Customers who do not provide a GSTIN will receive a consumer (B2C) tax invoice. Customers are responsible for providing accurate tax registration details.

12. Subscription Plans

Software is licensed on a subscription basis for a duration selected at the time of purchase, and subscription durations are configurable and may vary by product. Upon expiry of a Subscription, unless renewed:

  • The Software may stop functioning or its features may be disabled.
  • Software updates for that Subscription may stop.
  • Technical support associated with that Subscription may stop.
  • Continued use requires timely renewal, as described in Section 17.

No ownership rights in the Software are transferred to the Customer through the purchase of a Subscription; the Customer acquires only the license rights described in Section 13.

13. Software Licensing

Subject to these Terms and payment of applicable fees, TallyKart grants the Customer a limited, non-exclusive, non-transferable, revocable license to install and use the Software for the duration of the active Subscription, solely in connection with the Tally Serial Number(s), License ID, or Activation Key to which the license is associated. All Software licenses are granted solely by Metiosys Software Solutions; no Channel Partner or other third party has authority to grant, extend, or modify a license.

14. License Restrictions

Unless expressly permitted in writing by TallyKart, the Customer must not:

  • Copy, modify, reverse-engineer, decompile, or disassemble the Software.
  • Sublicense, resell, rent, lease, or otherwise transfer the Software or any license to a third party.
  • Use the Software with a Tally Serial Number, License ID, or Activation Key other than the one to which it is validly licensed.
  • Remove or alter any proprietary notices, branding, or license-management mechanisms within the Software.
  • Use the Software in violation of applicable law.

15. Software Delivery

Software is delivered electronically through the Platform following successful license activation. Certain Software or license activations may require manual processing by TallyKart's technical team and are not always instantly downloadable; typical processing timelines are communicated during checkout and order tracking.

16. Activation

License activation requires accurate Tally License Information (Tally Serial Number, License ID, Engine Code, and/or Activation Key). TallyKart may perform manual verification of Order and license details before activation. Installation and activation support may require remote assistance (for example, via AnyDesk or TeamViewer) from TallyKart specialists; Customers agree to reasonably cooperate with such assistance where requested.

17. Renewals

Subscriptions are renewed by placing a renewal Order through the Platform before or after expiry. Renewing before expiry extends the Subscription from its current expiry date; renewing after expiry may result in a period during which the Software is inactive, as described in Section 12. TallyKart does not guarantee automatic renewal, and Customers are responsible for tracking their Subscription's validity and initiating timely renewal.

18. Software Updates

Active Subscriptions are eligible to receive Software updates released by TallyKart for the applicable product version, subject to compatibility with the Customer's Tally Prime edition and version. TallyKart does not guarantee that every update will be compatible with every historical version of the Software or of Tally Prime, and reserves the right to determine which updates apply to a given Subscription.

19. Acceptable Use

You agree not to use the Platform to: violate any applicable law; infringe the intellectual property or other rights of TallyKart or any third party; attempt to gain unauthorized access to the Platform, other Accounts, or TallyKart's systems; interfere with or disrupt the integrity or performance of the Platform; misrepresent your identity or affiliation; or use the Software or Platform for any purpose other than its intended licensing, activation, and support functions.

20. Intellectual Property

All Software, the Platform, and all associated content, trademarks, logos, and materials are the exclusive property of Metiosys Software Solutions or its licensors and are protected by applicable intellectual property laws. Except for the limited license granted under Section 13, nothing in these Terms transfers any intellectual property rights to the Customer or Channel Partner.

21. User Content

Where the Platform allows Customers to submit content, such as product reviews, ratings, or support communications ("User Content"), you retain ownership of your User Content but grant TallyKart a non-exclusive, royalty-free, worldwide license to use, display, and reproduce it in connection with operating and promoting the Platform. You are solely responsible for the accuracy and legality of User Content you submit, and TallyKart may remove User Content that violates these Terms.

22. Privacy

Our collection, use, and handling of personal and business information is described in our Privacy Policy, which forms part of these Terms. Customer information is never sold, and is used only for operating and improving TallyKart's services and complying with legal obligations.

23. Suspension

TallyKart may suspend an Account or a specific Subscription, with or without prior notice, where we reasonably believe there has been a breach of these Terms, suspected fraud, non-payment, misuse of the Platform, or a security risk to the Platform or other users. Suspension may result in temporary loss of access to the Software, downloads, or support until the underlying issue is resolved.

24. Termination

TallyKart may terminate a Customer's or Channel Partner's Account for material or repeated breach of these Terms, fraudulent activity, or unauthorized distribution of Software. A Customer or Channel Partner may close their Account at any time by contacting TallyKart support. Termination of an Account does not entitle the Customer to a refund except as expressly provided under our Refund Policy, and does not affect obligations that by their nature should survive termination, including Sections 14, 20, 25, 26, and 27.

25. Disclaimer of Warranties

The Platform and Software are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, TallyKart disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. TallyKart does not warrant that the Software will be uninterrupted, error-free, or compatible with every configuration of Tally Prime or third-party systems.

26. Limitation of Liability

To the maximum extent permitted by applicable law, TallyKart's aggregate liability arising out of or relating to these Terms, the Platform, or the Software shall not exceed the amount actually paid by the Customer for the Subscription giving rise to the claim in the twelve (12) months preceding the event. TallyKart shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such damages.

27. Indemnification

You agree to indemnify and hold harmless Metiosys Software Solutions, its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms, misuse of the Software or Platform, or violation of applicable law or third-party rights.

28. Force Majeure

TallyKart shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, power outages, labor disputes, or failures of third-party payment gateways or hosting providers.

29. Changes to Terms

TallyKart may update these Terms from time to time to reflect changes in our services, business practices, or legal requirements. The "Last Updated" date at the top of this page indicates when the current version took effect. Material changes will be reflected by an updated version identifier, and continued use of the Platform after such changes constitutes acceptance of the revised Terms. Historical acceptance records are retained against the version accepted at the time.

30. Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

31. Jurisdiction

Subject to applicable law, the courts located in Taliparamba, Kerala, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms, the Platform, or the Software.
