These Terms & Conditions ("Terms") govern access to and use of TallyKart (the "Platform"), a software licensing and customer portal owned and operated by Metiosys Software Solutions ("Metiosys", "TallyKart", "we", "us", or "our"). TallyKart develops, licenses, distributes, and supports its own Tally business solution software products ("Software") and provides tools for customers to discover, purchase, subscribe to, download, activate, renew, and manage those licenses.
By creating an account, placing an order, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
Use of the Platform, including browsing the product catalog, creating an Account, or placing an Order, constitutes acceptance of these Terms and our Privacy Policy. Where applicable (registration and checkout), acceptance is recorded electronically, including the version of these Terms accepted, the date and time of acceptance, and, where available, the IP address and browser/device information used.
The Platform is intended for use by individuals and businesses capable of entering into legally binding contracts under applicable law. By registering an Account, you confirm that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the authority to act on behalf of the business you represent, if applicable.
Customers and Channel Partners must register an Account to purchase, hold, or manage Software subscriptions. You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You must notify us promptly of any unauthorized use of your Account. TallyKart is not liable for any loss arising from your failure to safeguard your Account credentials.

Incorrect or incomplete information provided by a Customer may delay license activation, renewal, or technical support, and TallyKart is not responsible for delays caused by inaccurate information.
This Section governs Channel Partners registered on the Platform.
TallyKart develops, licenses, distributes, and supports its own Software products directly to Customers. All Software available on the Platform is owned and managed by Metiosys Software Solutions unless expressly stated otherwise. The Platform does not permit third-party developers, publishers, or resellers to publish or sell software through TallyKart, and no part of the Platform functions as an open marketplace for third-party products.
An Order is placed by selecting one or more Software Subscriptions, associating them with valid Tally License Information, and completing checkout, including payment. Placing an Order constitutes an offer to purchase, which TallyKart may accept or decline. An Order is confirmed only after successful payment verification, and certain Orders may additionally require manual verification, as described in Section 16 and our Refund Policy.
Prices for Software Subscriptions are displayed on the Platform at the time of purchase and are subject to change without prior notice. Price changes do not affect an Order that has already been confirmed. All prices are listed in Indian Rupees (INR) unless otherwise stated and are exclusive of applicable taxes, which are added at checkout.
Orders are subject to Goods and Services Tax (GST) and any other taxes applicable under Indian law, calculated and displayed at checkout. Customers who provide a valid GSTIN may be eligible for a business (B2B) tax invoice; Customers who do not provide a GSTIN will receive a consumer (B2C) tax invoice. Customers are responsible for providing accurate tax registration details.
Software is licensed on a subscription basis for a duration selected at the time of purchase, and subscription durations are configurable and may vary by product. Upon expiry of a Subscription, unless renewed:
No ownership rights in the Software are transferred to the Customer through the purchase of a Subscription; the Customer acquires only the license rights described in Section 13.
Subject to these Terms and payment of applicable fees, TallyKart grants the Customer a limited, non-exclusive, non-transferable, revocable license to install and use the Software for the duration of the active Subscription, solely in connection with the Tally Serial Number(s), License ID, or Activation Key to which the license is associated. All Software licenses are granted solely by Metiosys Software Solutions; no Channel Partner or other third party has authority to grant, extend, or modify a license.
Unless expressly permitted in writing by TallyKart, the Customer must not:
Software is delivered electronically through the Platform following successful license activation. Certain Software or license activations may require manual processing by TallyKart's technical team and are not always instantly downloadable; typical processing timelines are communicated during checkout and order tracking.
License activation requires accurate Tally License Information (Tally Serial Number, License ID, Engine Code, and/or Activation Key). TallyKart may perform manual verification of Order and license details before activation. Installation and activation support may require remote assistance (for example, via AnyDesk or TeamViewer) from TallyKart specialists; Customers agree to reasonably cooperate with such assistance where requested.
Subscriptions are renewed by placing a renewal Order through the Platform before or after expiry. Renewing before expiry extends the Subscription from its current expiry date; renewing after expiry may result in a period during which the Software is inactive, as described in Section 12. TallyKart does not guarantee automatic renewal, and Customers are responsible for tracking their Subscription's validity and initiating timely renewal.
Active Subscriptions are eligible to receive Software updates released by TallyKart for the applicable product version, subject to compatibility with the Customer's Tally Prime edition and version. TallyKart does not guarantee that every update will be compatible with every historical version of the Software or of Tally Prime, and reserves the right to determine which updates apply to a given Subscription.
You agree not to use the Platform to: violate any applicable law; infringe the intellectual property or other rights of TallyKart or any third party; attempt to gain unauthorized access to the Platform, other Accounts, or TallyKart's systems; interfere with or disrupt the integrity or performance of the Platform; misrepresent your identity or affiliation; or use the Software or Platform for any purpose other than its intended licensing, activation, and support functions.
All Software, the Platform, and all associated content, trademarks, logos, and materials are the exclusive property of Metiosys Software Solutions or its licensors and are protected by applicable intellectual property laws. Except for the limited license granted under Section 13, nothing in these Terms transfers any intellectual property rights to the Customer or Channel Partner.
Where the Platform allows Customers to submit content, such as product reviews, ratings, or support communications ("User Content"), you retain ownership of your User Content but grant TallyKart a non-exclusive, royalty-free, worldwide license to use, display, and reproduce it in connection with operating and promoting the Platform. You are solely responsible for the accuracy and legality of User Content you submit, and TallyKart may remove User Content that violates these Terms.
Our collection, use, and handling of personal and business information is described in our Privacy Policy, which forms part of these Terms. Customer information is never sold, and is used only for operating and improving TallyKart's services and complying with legal obligations.
TallyKart may suspend an Account or a specific Subscription, with or without prior notice, where we reasonably believe there has been a breach of these Terms, suspected fraud, non-payment, misuse of the Platform, or a security risk to the Platform or other users. Suspension may result in temporary loss of access to the Software, downloads, or support until the underlying issue is resolved.
TallyKart may terminate a Customer's or Channel Partner's Account for material or repeated breach of these Terms, fraudulent activity, or unauthorized distribution of Software. A Customer or Channel Partner may close their Account at any time by contacting TallyKart support. Termination of an Account does not entitle the Customer to a refund except as expressly provided under our Refund Policy, and does not affect obligations that by their nature should survive termination, including Sections 14, 20, 25, 26, and 27.
The Platform and Software are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, TallyKart disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. TallyKart does not warrant that the Software will be uninterrupted, error-free, or compatible with every configuration of Tally Prime or third-party systems.
To the maximum extent permitted by applicable law, TallyKart's aggregate liability arising out of or relating to these Terms, the Platform, or the Software shall not exceed the amount actually paid by the Customer for the Subscription giving rise to the claim in the twelve (12) months preceding the event. TallyKart shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such damages.
You agree to indemnify and hold harmless Metiosys Software Solutions, its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms, misuse of the Software or Platform, or violation of applicable law or third-party rights.
TallyKart shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, power outages, labor disputes, or failures of third-party payment gateways or hosting providers.
TallyKart may update these Terms from time to time to reflect changes in our services, business practices, or legal requirements. The "Last Updated" date at the top of this page indicates when the current version took effect. Material changes will be reflected by an updated version identifier, and continued use of the Platform after such changes constitutes acceptance of the revised Terms. Historical acceptance records are retained against the version accepted at the time.
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
Subject to applicable law, the courts located in Taliparamba, Kerala, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms, the Platform, or the Software.
